Terms of Service
Effective October 5, 2026
These terms govern your use of cibotti.app and the Cibotti record ledger (the "Service"), provided by Cibotti, Inc. ("Cibotti", "we", "us"). By using the Service you agree to them. If you use the Service on behalf of an organization, you agree for that organization, and "you" includes it. A signed agreement between Cibotti and your organization takes priority over these terms where they differ.
1. Access
- Access is by access code issued to your organization. Keep your code confidential, don't share it, and tell your administrator or us at once if you think someone else has it.
- You are responsible for activity under your code until it is reported and deactivated.
- Sessions end after 30 minutes without activity, and we may require you to sign in again at any time.
2. Your content
- You and your organization own the records and files you add ("Content"). You give Cibotti permission to store, process, fingerprint, back up and display Content only as needed to provide and secure the Service.
- You confirm that you have the right to record and upload the Content, and that it does not break any law or anyone else's rights.
- Entries are permanent. The Service is designed so that ledger entries and attached files cannot be edited or deleted after they are saved. Corrections are made by adding new entries. Check entries before you save them.
3. Acceptable use
You must not:
- upload malware, or content that is unlawful, infringing, or that you have no right to share;
- try to get into accounts, records or systems you are not authorized to use, or probe, scan or test the Service's security without our written permission (see our security contact to report a vulnerability);
- overload, disrupt or reverse-engineer the Service, or get around its limits;
- use the Service to mislead anyone about what a record shows or when it was made.
We may suspend access that breaks these rules or puts the Service or other customers at risk.
4. What verification shows
The Service is tamper-evident: it lets anyone check whether a record or file matches what was originally saved, and anchors fingerprints to the Bitcoin blockchain through OpenTimestamps so the time of a record can be checked independently. It does not guarantee that what someone recorded was true or complete, and it does not stop anyone from making a false record in the first place. Anchoring depends on third-party networks and may be delayed.
5. Availability and changes
We work to keep the Service available and backed up, but we do not promise uninterrupted or error-free service. We may change or improve features. If we stop offering the Service, we will give customers reasonable notice and a way to export their records.
6. Fees
Fees, if any, are set out in your organization's order or agreement with Cibotti.
7. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
8. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, CIBOTTI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. CIBOTTI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID TO CIBOTTI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100 IF NOTHING WAS PAID.
9. Ending use
Your organization can stop using the Service at any time. We may suspend or end access for a material breach of these terms. Sections 2, 4, 7, 8 and 10 continue after use ends.
10. Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in the State of Delaware.
11. Changes to these terms
We may update these terms and will post the new version here with a new effective date. If a change is significant, we will tell customers before it takes effect. Continuing to use the Service after that means you accept the change.
